HeadDial Terms of Use

These Terms of Use (“Terms”) govern access to HeadDial’s websites, mobile applications, software, content, and related services (collectively, the “Services”).
The Services are provided by HeadDial UK Limited, company number NI738904 (“HeadDial”, “we”, “us”, or “our”).
By creating an account, accessing, or using the Services, you agree to these Terms. If you use HeadDial on behalf of a club, team, academy, employer, or other organisation, you confirm that you are authorised to do so.
If your organisation has entered into a separate written agreement with HeadDial, that agreement will take priority where it conflicts with these Terms.
1. Eligibility
You must be at least 16 years old to use the Services.
If you are under the age at which you can enter into a binding agreement where you live, you may use the Services only with the permission of a parent or legal guardian.
You must provide accurate information and keep your account details current.
2. What HeadDial provides
HeadDial provides tools intended to support mental-performance preparation, reflection, training, and progress tracking.
The Services may generate scores, recommendations, insights, personalised content, audio, or other outputs using automated systems. These outputs are provided for informational and training purposes only. They are not definitive assessments of your ability, wellbeing, health, readiness, or future performance.
We may add, remove, improve, or change features from time to time.
3. Not medical or professional advice
HeadDial is not a medical device, healthcare service, therapy service, diagnostic service, or emergency service.
The Services do not provide medical, psychological, psychiatric, therapeutic, or other regulated professional advice. They are not a substitute for a qualified professional.
Do not use HeadDial to diagnose or treat a condition or to make decisions about medical care, player welfare, selection, safeguarding, employment, or participation in sport.
If you are concerned about your health or safety, contact an appropriate qualified professional. In an emergency, contact the emergency services in your location.
4. Accounts and security
You are responsible for:
keeping your login details confidential;
activity carried out through your account;
using a secure device and connection; and
notifying us promptly if you believe your account has been accessed without permission.
You must not share an individual account unless HeadDial expressly permits it.
We may require you to verify your identity or account information.
5. Organisation and team accounts
If your account is connected to a club, team, academy, employer, or other organisation, authorised personnel may be able to view information made available through the organisation’s account settings.
The organisation is responsible for ensuring that it has a lawful and appropriate basis for inviting users, accessing information, and using the Services.
Organisations must not:
use HeadDial outputs as the sole basis for decisions that materially affect a person;
access information beyond their authority;
use information for unrelated purposes; or
disclose athlete information without appropriate authority.
Your organisation may have separate rules or privacy information that also apply to its use of your information.
6. Acceptable use
You must use the Services lawfully and responsibly.
You must not:
copy, reproduce, scrape, republish, resell, or commercially exploit the Services;
reverse engineer, decompile, disassemble, probe, or attempt to discover the source code, models, algorithms, prompts, scoring systems, methodology, architecture, or underlying components of the Services;
use the Services or their outputs to develop, train, evaluate, or improve a competing product or service;
conduct or publish benchmarks or comparative testing without our written permission;
circumvent security, access controls, usage limits, or technical restrictions;
access another person’s account or data without permission;
upload unlawful, harmful, misleading, infringing, or malicious material;
introduce malware or interfere with the operation of the Services;
use the Services to harass, discriminate against, monitor unlawfully, or harm another person; or
remove or obscure proprietary notices.
These restrictions apply except to the extent applicable law does not allow them to be restricted.
7. Your content
“User Content” means information or material that you submit to the Services, including responses, goals, reflections, recordings, text, images, and other content.
You retain any rights you have in your User Content.
You give HeadDial a worldwide, non-exclusive, royalty-free licence to host, copy, process, adapt, transmit, and otherwise use User Content as reasonably necessary to provide, secure, maintain, and improve the Services in accordance with our Privacy Policy.
You confirm that you have the rights and permissions required to provide your User Content and that doing so will not violate the rights of another person.
Do not submit information about another person unless you are authorised to do so.
8. HeadDial intellectual property
HeadDial and its licensors own all rights in the Services and their underlying technology and materials, including:
software and source code;
designs and interfaces;
brands, logos, and trade names;
scoring and personalisation systems;
algorithms, models, prompts, and methodologies;
databases, structures, and taxonomies;
training materials and platform content; and
improvements, aggregated insights, and know-how.
No rights are transferred to you except the limited right to use the Services under these Terms.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose.
Personalised outputs may be used for your own personal training or your organisation’s authorised internal use. You may not sell, license, publicly distribute, or use them to create a competing service without our written permission.
If you provide feedback, you permit us to use it without restriction or payment.
9. Third-party services
The Services may interact with third-party platforms, integrations, app stores, payment providers, or links.
Third-party services are governed by their own terms and privacy practices. HeadDial is not responsible for third-party services outside our reasonable control.
10. Fees
Some Services may require payment or be provided through an organisation’s subscription.
Pricing, payment terms, renewal terms, and cancellation rights will be presented before purchase or set out in a separate order or agreement.
App-store purchases are also subject to the relevant app store’s terms.
11. Availability and changes
We aim to provide a reliable service but do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.
We may perform maintenance, impose reasonable usage limits, or change or discontinue parts of the Services.
Nothing in these Terms guarantees that any particular feature will remain available.
12. Suspension and termination
You may stop using the Services at any time.
We may restrict, suspend, or terminate access where reasonably necessary, including if:
you breach these Terms;
your use creates a security, legal, or safety risk;
payment is overdue;
an organisation’s subscription ends; or
we discontinue the relevant Service.
Where reasonably practicable, we will provide notice.
Provisions concerning intellectual property, disclaimers, liability, and disputes will continue after termination.
13. Disclaimers
Mental and sporting performance are affected by many factors. HeadDial does not guarantee any particular result, improvement, score, selection decision, or competitive outcome.
Automated and AI-generated outputs may be incomplete, inappropriate, or inaccurate. You must apply your own judgment and seek qualified advice where appropriate.
Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.
14. Liability
Nothing in these Terms excludes or limits liability for:
death or personal injury caused by negligence;
fraud or fraudulent misrepresentation; or
any liability that cannot legally be excluded or limited.
If you are a consumer, we are responsible for losses that are a foreseeable result of our breach of these Terms. We are not responsible for business losses or losses caused by events outside our reasonable control.
If you use the Services for business or organisational purposes, HeadDial will not be liable for loss of profit, revenue, business, opportunity, goodwill, anticipated savings, or data, or for indirect or consequential loss.
For business and organisational users, HeadDial’s total liability arising from the Services will not exceed the fees paid for the affected Services during the 12 months preceding the event giving rise to the claim, or £100 if no fees were paid.

Our collection and use of personal information are described in the HeadDial Privacy Policy.
16. Changes to these Terms
We may update these Terms to reflect changes to the Services, law, security requirements, or our business.
We will give reasonable notice of material changes where appropriate. Continued use after the updated Terms take effect constitutes acceptance, except where applicable law requires another form of consent.
17. Governing law
These Terms are governed by the laws of Northern Ireland.
The courts of Northern Ireland will have jurisdiction, except that consumers may bring proceedings in the courts available to them under applicable consumer law.
Before starting formal proceedings, please contact us so that we can try to resolve the issue.
18. General
If part of these Terms is unenforceable, the remaining provisions will continue in effect.
A delay in enforcing these Terms is not a waiver of our rights.
You may not transfer your rights under these Terms without our permission. We may transfer our rights as part of a restructuring, financing, acquisition, or sale of our business, provided this does not reduce your legal rights.
These Terms, together with any applicable order, subscription agreement, and Privacy Policy, form the agreement governing your use of the Services.
