HeadDial Terms of Use

These Terms of Use (“Terms”) govern your access to and use of HeadDial, including our iOS application, Android application, athlete web application, club web application, dashboards, websites, HeadScore, artificial intelligence features, audio features, content, tools, and related services.

HeadDial is operated by HeadDial UK Ltd, a company based in the United Kingdom.

By accessing or using HeadDial, you agree to these Terms. If you do not agree to these Terms, you must not access or use HeadDial.

If you are using HeadDial on behalf of a club, academy, team, school, federation, organisation, or other entity, you confirm that you are authorised to do so.

1. Key definitions

In these Terms:

“HeadDial”, “we”, “us”, or “our” means HeadDial Ltd.

“Services” means HeadDial’s mobile applications, web applications, dashboards, websites, HeadScore, artificial intelligence features, audio features, imagery tools, content, software, and related services.

“Athlete” means an individual athlete whose account is created, enabled, or managed by a Club, Sport Psychologist, club administrator, or other authorised Club User.

“Club” means any club, academy, team, school, federation, organisation, enterprise customer, or other entity that contracts with HeadDial or authorises users to access the Services.

“Club User” means a Sport Psychologist, club administrator, authorised performance professional, or other authorised person who accesses HeadDial on behalf of a Club.

“Sport Psychologist” means an authorised professional connected with a Club who may access individual Athlete data through HeadDial where permitted by the Club and configured in the Services.

“Coach” means a coach, manager, trainer, or similar member of Club staff.

“User”, “you”, or “your” means any person who accesses or uses HeadDial, including Athletes, Club Users, Sport Psychologists, administrators, and parents or guardians where applicable.

“User Content” means any information, text, audio, video, notes, reflections, responses, files, feedback, prompts, recordings, or other content submitted, uploaded, entered, generated, or provided by a User through HeadDial.

“HeadScore” means HeadDial’s proprietary sport performance score generated from weighted, domain-specific questions and related performance inputs.

2. About HeadDial

HeadDial provides sport performance software for athletes, clubs, teams, academies, sport psychologists, and performance organisations.

The Services are designed to support athlete preparation, mental performance, imagery practice, reflection, confidence, focus, habits, recovery awareness, and sport-related performance development.

HeadDial may allow Athletes to:

  • complete sport performance check-ins;

  • answer domain-specific questions;

  • receive a HeadScore;

  • access personalised imagery and performance content;

  • listen to generated audio;

  • upload notes, reflections, audio, video, or other content;

  • review performance-related insights;

  • work with authorised Sport Psychologists.

HeadDial may allow authorised Club Users to:

  • set up or enable Athlete accounts;

  • manage access;

  • view permitted dashboards;

  • support sport psychology workflows;

  • review authorised Athlete data;

  • access aggregated or de-identified information;

  • manage Club-related settings.

Available features may vary depending on your role, Club, subscription, platform, device, operating system, region, and permissions.

3. Sport performance only

HeadDial is sport performance software.

HeadDial is designed to support sport performance, mental skills, preparation, imagery, reflection, focus, confidence, recovery awareness, and performance-related conversations.

HeadDial is not:

  • a medical device;

  • a healthcare service;

  • a mental-health service;

  • a therapy service;

  • a counselling service;

  • a clinical psychology service;

  • a crisis-support service;

  • an emergency service;

  • a diagnostic tool;

  • a substitute for professional medical, psychological, therapeutic, safeguarding, or clinical advice.

HeadDial does not provide medical advice, mental-health advice, diagnosis, treatment, therapy, counselling, crisis intervention, injury treatment, return-to-play medical decisions, or clinical recommendations.

You should seek advice from a qualified professional where appropriate.

If you are experiencing a medical emergency, mental-health crisis, risk of harm, or urgent safety issue, you should contact emergency services or an appropriate qualified professional immediately. HeadDial is not designed to monitor, detect, or respond to emergencies.

4. Eligibility

You must be at least 16 years old to use HeadDial.

If you are under 18, you may use HeadDial only:

  • with appropriate parent or guardian supervision;

  • where your Club has the necessary permissions to set up, enable, or manage your account;

  • where your use is permitted by applicable law;

  • in accordance with these Terms.

By using HeadDial, you confirm that:

  • you meet the age requirement;

  • you have been set up, invited, or authorised to access HeadDial by an authorised Club User, Sport Psychologist, or Club representative;

  • the information you provide is accurate to the best of your knowledge;

  • you will use HeadDial only for lawful and permitted purposes.

If you are a parent or guardian of a young Athlete, you are responsible for supervising that Athlete’s use of HeadDial where appropriate.

5. Managed access only

Athletes cannot create their own HeadDial accounts.

Athlete accounts are created, enabled, or managed by authorised Sport Psychologists, club administrators, or other authorised Club Users. Your account may be connected to the Club that created, enabled, or manages your access.

Your Club may control or influence:

  • whether your account is created, enabled, or maintained;

  • your team, squad, or group;

  • which Sport Psychologist is connected to your account;

  • whether your account remains active;

  • which features are available to you;

  • whether your access is suspended, removed, or changed;

  • what organisation-level settings apply.

If your access is provided through a Club, your use of HeadDial may also be subject to the agreement between HeadDial and that Club.

If there is a conflict between these Terms and a written agreement between HeadDial and the Club, the Club agreement will usually control for commercial, administrative, subscription, data processing, and organisation-level matters.

6. User roles and permissions

HeadDial uses role-based access controls.

Different Users may have different permissions depending on their role, Club, subscription, configuration, and authorised access level.

User roles may include:

  • Athletes;

  • Sport Psychologists;

  • club administrators;

  • authorised performance staff;

  • Coaches;

  • parents or guardians;

  • HeadDial personnel.

You must not access, attempt to access, view, copy, export, disclose, or use any data, account, dashboard, or feature unless you are authorised to do so.

HeadDial may modify role permissions, access levels, and available features from time to time.

7. Athlete access

Athletes may use HeadDial through the iOS app, Android app, and athlete web app where available.

Athletes may use HeadDial to support sport performance activities such as:

  • reflection;

  • preparation;

  • imagery practice;

  • focus training;

  • confidence development;

  • performance routines;

  • habit tracking;

  • recovery awareness;

  • stress and pressure awareness;

  • performance conversations with authorised Sport Psychologists.

Athletes must use HeadDial honestly, respectfully, and only for sport performance purposes.

Athletes must not use HeadDial to submit emergency information, medical records, clinical mental-health information, therapy notes, confidential information about others, or information they are not authorised to share.

Athletes must not share login details with anyone else. If you believe someone has accessed your account without permission, you should contact HeadDial or your Club as soon as possible.

8. Club and staff access

Club Users may access HeadDial through the club web application and related dashboards where available.

Club Users must:

  • access HeadDial only for authorised Club purposes;

  • keep login credentials secure;

  • use Athlete data only for permitted sport performance purposes;

  • comply with applicable laws, safeguarding obligations, privacy obligations, and professional duties;

  • access only the Athletes, teams, dashboards, and information they are authorised to access;

  • maintain confidentiality of Athlete data;

  • avoid unnecessary copying, exporting, downloading, or disclosure of Athlete data;

  • promptly notify HeadDial of suspected unauthorised access, misuse, or security incidents.

Club Users must not use HeadDial to make medical, clinical, therapeutic, disciplinary, selection, contract, employment, or safeguarding decisions unless they have an independent lawful and professional basis to do so outside HeadDial.

HeadDial provides sport performance information only. Clubs and Club Users remain responsible for their own decisions and obligations.

9. Sport psychologist access

Authorised Sport Psychologists may access individual Athlete data where enabled by the relevant Club and configured in HeadDial.

This may include:

  • Athlete responses;

  • HeadScore;

  • performance reflections;

  • imagery activity;

  • uploaded content;

  • generated content;

  • mood, stress, confidence, sleep, injury, recovery, and related sport performance inputs;

  • other information submitted or generated through HeadDial.

Sport Psychologist access is intended to support sport performance, athlete preparation, mental skills training, imagery practice, reflection, and performance-related conversations.

Sport Psychologists must use Athlete data only for authorised sport performance purposes and in accordance with applicable professional, ethical, safeguarding, confidentiality, and data protection obligations.

10. Coach access restriction

Coaches do not have access to individually identifiable Athlete performance data through HeadDial.

Coaches are not permitted to view individual Athlete responses, HeadScore data, reflections, uploads, imagery activity, mood, stress, confidence, sleep, injury, recovery, or similar individual Athlete information through the platform.

Where available, Coaches or Club staff may receive aggregated, anonymised, or de-identified insights. These insights are designed so that individual Athletes are not identifiable.

Coaches, Clubs, Club Users, and other Users must not attempt to re-identify individual Athletes from aggregated, anonymised, or de-identified information.

Clubs must not require Sport Psychologists or other authorised Users to disclose individual Athlete data to Coaches outside the permissions and purposes allowed by HeadDial, applicable law, professional obligations, and the relevant Club agreement.

11. Parent and guardian responsibility

If an Athlete is under 18, their parent or guardian should supervise their use of HeadDial where appropriate.

Parents and guardians should understand that HeadDial is sport performance software and is not a medical, mental-health, therapy, counselling, or crisis-support service.

Where a Club creates, enables, or manages an account for a young Athlete, the Club is responsible for obtaining any required parent or guardian consent, athlete assent, safeguarding approval, school approval, academy approval, or other lawful authority required to set up and manage that Athlete.

Parents or guardians may contact HeadDial or the relevant Club with questions about a young Athlete’s use of HeadDial.

12. HeadScore

HeadScore is HeadDial’s proprietary sport performance score.

HeadScore is generated from weighted, domain-specific questions and related performance inputs. It may be informed by sport psychology, performance frameworks, and psychometric-style scales.

HeadScore is designed to support:

  • sport performance reflection;

  • preparation;

  • performance conversations;

  • awareness of performance-related patterns;

  • mental skills development;

  • imagery and training recommendations.

HeadScore is not:

  • a clinical assessment;

  • a medical score;

  • a mental-health score;

  • a diagnostic tool;

  • a psychological diagnosis;

  • a wellbeing diagnosis;

  • a predictor of success or failure;

  • a substitute for professional judgement;

  • a replacement for a qualified sport psychologist, doctor, therapist, counsellor, safeguarding lead, or other professional.

HeadScore may not reflect every relevant factor affecting an Athlete’s performance, wellbeing, training, recovery, injury, or personal circumstances.

Users and Club Users must not use HeadScore as the sole basis for important decisions about an Athlete.

13. AI-generated content

HeadDial may use artificial intelligence technologies to generate or support:

  • imagery scripts;

  • personalised sport performance content;

  • audio exercises;

  • summaries;

  • prompts;

  • reflections;

  • recommendations;

  • insights;

  • support materials;

  • other performance-related content.

HeadDial may use third-party providers, including OpenAI, Anthropic, and ElevenLabs, to provide these features.

AI-generated content may be inaccurate, incomplete, unsuitable, delayed, unavailable, or inappropriate for a particular Athlete, sport, context, or situation.

AI-generated content is provided for sport performance support only. It is not medical advice, mental-health advice, therapy, counselling, diagnosis, treatment, crisis support, or clinical guidance.

You are responsible for applying your own judgement before relying on AI-generated content.

Sport Psychologists and Club Users are responsible for reviewing AI-generated content before using it in professional, athlete-support, or Club workflows.

HeadDial may modify, suspend, limit, or discontinue AI features at any time.

14. Audio features

HeadDial may generate or provide audio content, including personalised imagery audio, spoken scripts, voice synthesis, or related audio exercises.

Audio features may be generated using third-party providers such as ElevenLabs.

You must use audio content only for lawful sport performance purposes.

You must not:

  • copy, distribute, sell, license, or commercially exploit HeadDial-generated audio except as permitted by HeadDial;

  • use generated audio to impersonate another person;

  • use audio features to create misleading, harmful, abusive, unlawful, or deceptive content;

  • upload audio that infringes another person’s rights;

  • upload audio containing private information about others without authorisation;

  • use audio features for medical, therapeutic, clinical, emergency, or crisis purposes.

HeadDial may remove, restrict, regenerate, or disable audio content where we consider it necessary.

15. User Content

You may submit, upload, record, enter, or generate User Content through HeadDial.

You retain ownership of your User Content, subject to the rights granted to HeadDial under these Terms.

By submitting User Content, you grant HeadDial a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, modify, adapt, create derivative works from, display, transmit, and use your User Content as necessary to:

  • provide the Services;

  • generate HeadScore and related insights;

  • generate imagery, audio, and AI-supported content;

  • provide dashboards to authorised Users;

  • support Club workflows;

  • maintain, secure, and improve HeadDial;

  • troubleshoot issues;

  • comply with law;

  • enforce these Terms.

This licence lasts for as long as necessary to provide the Services and fulfil the purposes described in these Terms and our Privacy Policy.

Where User Content has been anonymised, aggregated, or de-identified so that it no longer identifies you, HeadDial may use it to improve the Services, develop features, conduct research and analysis, and support business operations.

You are responsible for your User Content and confirm that you have all rights, permissions, and authority needed to submit it.

16. Content you must not submit

You must not submit, upload, record, enter, generate, or share User Content that:

  • is unlawful, harmful, threatening, abusive, harassing, hateful, discriminatory, or defamatory;

  • infringes another person’s intellectual property, privacy, confidentiality, or other rights;

  • contains confidential information about another person without authorisation;

  • contains medical records, clinical mental-health records, therapy notes, treatment plans, medication records, or diagnosis information;

  • contains emergency information requiring urgent response;

  • contains information about self-harm, harm to others, or immediate safety risks intended to seek emergency support through HeadDial;

  • contains sexually explicit material;

  • exploits or harms children;

  • promotes violence, abuse, harassment, or unlawful activity;

  • contains malware, viruses, or harmful code;

  • is misleading, fraudulent, or deceptive;

  • impersonates another person;

  • interferes with the operation or security of HeadDial.

If you need urgent help, you should contact emergency services or an appropriate qualified professional. HeadDial is not an emergency-response service.

17. Acceptable use

You must not:

  • use HeadDial for unlawful purposes;

  • access HeadDial without authorisation;

  • attempt to bypass role-based access controls;

  • access or attempt to access another User’s account;

  • share login credentials;

  • scrape, harvest, copy, or extract data from HeadDial without permission;

  • reverse engineer, decompile, or attempt to derive source code from HeadDial;

  • interfere with the operation, availability, or security of HeadDial;

  • upload malware or harmful code;

  • use HeadDial to train competing models, systems, or products without permission;

  • use HeadDial to develop a competing product or service;

  • misuse AI or audio features;

  • attempt to re-identify individuals from aggregated, anonymised, or de-identified data;

  • disclose individual Athlete data to unauthorised people;

  • use HeadDial data for disciplinary, selection, employment, contract, medical, or safeguarding decisions without an independent lawful and professional basis;

  • use HeadDial in a way that could harm Athletes, Clubs, HeadDial, or others.

We may suspend or terminate access if we believe these Terms have been breached.

18. Account deletion

Athletes may request deletion of their HeadDial account through the app, where available, or by contacting HeadDial.

Because Athlete accounts are not created directly by Athletes and are instead created, enabled, or managed by authorised Sport Psychologists, club administrators, or other authorised Club Users, HeadDial may need to coordinate with the relevant Club, Sport Psychologist, school, academy, or organisation before completing a deletion request.

When we receive an account deletion request, we may:

  • deactivate or restrict access to the account;

  • verify the identity of the requester;

  • notify or coordinate with the relevant Club, Sport Psychologist, school, academy, or organisation;

  • delete, anonymise, restrict, or return personal data where required;

  • retain certain information where necessary or permitted by law.

We may retain limited information where necessary for legal, safeguarding, security, accounting, dispute-resolution, fraud-prevention, compliance, or legitimate business purposes.

If you are under 18, we may need to involve your parent, guardian, Club, school, academy, Sport Psychologist, or safeguarding contact where appropriate.

Deleting your account may permanently remove access to HeadDial and may affect your ability to receive sport performance support through the platform.

19. Mobile apps

HeadDial may be available through iOS and Android mobile applications.

Your use of the mobile apps may require:

  • a compatible device;

  • internet access;

  • supported operating system versions;

  • app updates;

  • app store access;

  • device permissions.

HeadDial does not guarantee that the mobile apps will be compatible with every device, operating system, or region.

You are responsible for any mobile data charges, internet charges, carrier fees, or device costs associated with using HeadDial.

We may update the mobile apps from time to time. You may need to install updates to continue using some or all features.

We may stop supporting older app versions or operating systems.

20. App store terms

If you download HeadDial from the Apple App Store, Google Play Store, or another app distribution platform, your use of the app may also be subject to that platform’s terms, policies, and rules.

Those platform terms are separate from these Terms.

Apple-specific terms

If you access HeadDial through an iOS app:

  • these Terms are between you and HeadDial, not Apple;

  • Apple is not responsible for HeadDial or its content;

  • Apple has no obligation to provide maintenance or support for HeadDial;

  • Apple is not responsible for any claims relating to HeadDial;

  • Apple is not responsible for any third-party intellectual property claims relating to HeadDial;

  • Apple and its subsidiaries are third-party beneficiaries of these Terms for the iOS app and may enforce these Terms against you as third-party beneficiaries.

Google-specific terms

If you access HeadDial through an Android app distributed by Google Play, your use may also be subject to Google Play terms and policies.

Google is not responsible for providing support, maintenance, or services for HeadDial unless required by applicable platform rules.

21. Device permissions and notifications

Some HeadDial features may require device permissions, such as:

  • microphone access;

  • camera access;

  • photo or file access;

  • storage access;

  • notification permissions;

  • audio playback;

  • internet connectivity.

You can manage device permissions through your device settings.

If you disable certain permissions, some features may not work properly.

HeadDial may send service-related notifications, such as account, security, invitation, activity, reminder, or platform messages. Where required, we will ask for permission before sending push notifications.

22. Availability and changes to the Services

We aim to provide reliable Services, but HeadDial may be unavailable, interrupted, delayed, restricted, or changed from time to time.

We may modify, suspend, withdraw, replace, or discontinue any part of the Services at any time, including:

  • mobile app features;

  • web app features;

  • HeadScore features;

  • AI features;

  • audio features;

  • dashboards;

  • reports;

  • integrations;

  • analytics;

  • content;

  • subscription features.

We do not guarantee that HeadDial will always be available, error-free, uninterrupted, secure, or compatible with all devices or systems.

23. Fees, subscriptions, and enterprise customers

Athletes generally access HeadDial for free where access is provided by a Club.

Clubs and enterprise customers may pay for access under a separate agreement with HeadDial.

Fees, billing, taxes, subscription terms, renewals, cancellations, refunds, service levels, support terms, and commercial obligations are governed by the relevant Club agreement, order form, subscription agreement, or enterprise contract.

Unless you have entered into a separate paid agreement with HeadDial, these Terms do not create a payment obligation for individual Athletes.

24. Intellectual property

HeadDial and its licensors own all rights, title, and interest in and to the Services, including:

  • software;

  • mobile applications;

  • web applications;

  • dashboards;

  • designs;

  • interfaces;

  • algorithms;

  • scoring systems;

  • HeadScore;

  • question frameworks;

  • weighted domain models;

  • psychometric-scale-derived structures;

  • imagery tools;

  • audio tools;

  • AI workflows;

  • databases;

  • documentation;

  • trademarks;

  • logos;

  • content;

  • know-how;

  • proprietary methods.

Except for the limited right to use HeadDial in accordance with these Terms, no rights are granted to you.

You must not copy, reproduce, modify, distribute, sell, license, reverse engineer, decompile, scrape, extract, or create derivative works from HeadDial unless expressly permitted by us in writing.

The name “HeadDial”, HeadScore, and related marks, names, logos, and branding are owned by HeadDial or its licensors.

25. Licence to use HeadDial

Subject to these Terms, HeadDial grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Services for authorised sport performance purposes.

This licence is personal to you and depends on your role, Club, permissions, and account status.

You must not transfer your account, share your login details, or allow anyone else to use your account.

We may suspend, restrict, or terminate your licence if you breach these Terms or lose authorisation to access HeadDial.

26. Feedback

If you provide ideas, suggestions, comments, or feedback about HeadDial, you grant us the right to use that feedback without restriction or compensation.

We may use feedback to improve, develop, market, or modify HeadDial and related products or services.

You must not provide feedback that contains confidential information you are not authorised to share.

27. Confidentiality

Club Users may have access to confidential information, including Athlete data, Club data, HeadDial business information, product information, dashboards, reports, and proprietary features.

Club Users must keep confidential information secure and must not disclose it except where authorised by HeadDial, the relevant Club agreement, applicable law, or appropriate professional obligations.

Club Users must not share individual Athlete data with Coaches or other unauthorised people.

Confidentiality obligations continue after your access to HeadDial ends.

28. Privacy and data protection

Our handling of personal data is described in our Privacy Policy.

By using HeadDial, you acknowledge that personal data will be collected, used, disclosed, and otherwise processed as described in the Privacy Policy.

Where a Club uses HeadDial with Athletes, the Club may have separate data protection responsibilities. These may include providing privacy information, obtaining required permissions, managing lawful bases, handling parent or guardian consent where applicable, managing account deletion requests, and responding to certain data rights requests.

HeadDial and the Club may also enter into a separate data processing agreement or data protection terms.

29. Safeguarding and risk concerns

HeadDial is not a safeguarding, emergency, crisis, or monitoring service.

We do not actively monitor all User Content for safeguarding, medical, mental-health, emergency, or safety concerns.

However, if we become aware of information that indicates a serious risk of harm, safeguarding concern, legal issue, or immediate safety concern, we may take steps we consider appropriate. This may include notifying the relevant Club, parent, guardian, safeguarding lead, legal authority, emergency service, or other appropriate party where permitted or required by law.

Nothing in these Terms prevents HeadDial, a Club, Sport Psychologist, or other authorised person from taking appropriate action where there is a genuine safety, safeguarding, legal, or welfare concern.

30. No professional relationship with HeadDial

Your use of HeadDial does not create a doctor-patient, therapist-client, counsellor-client, psychologist-client, fiduciary, or other professional healthcare relationship between you and HeadDial.

If you work with a Sport Psychologist through your Club, that relationship is between you, the Sport Psychologist, and/or the relevant Club. HeadDial provides the software platform but does not control the professional judgement of Sport Psychologists or other Club professionals.

HeadDial is not responsible for professional advice, decisions, actions, or omissions of Sport Psychologists, Clubs, Coaches, administrators, parents, guardians, or other third parties.

31. Third-party services

HeadDial may integrate with, depend on, or use third-party services, including cloud hosting, analytics, AI, audio generation, authentication, monitoring, and infrastructure providers.

These may include:

  • Firebase;

  • Microsoft Azure;

  • PostHog;

  • OpenAI;

  • Anthropic;

  • ElevenLabs;

  • Sentry;

  • app stores;

  • other service providers.

Third-party services may be subject to their own terms, policies, and availability.

HeadDial is not responsible for third-party services except as required by applicable law or a written agreement.

We may change third-party providers from time to time.

32. Disclaimers

HeadDial is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we do not guarantee that:

  • HeadDial will be uninterrupted, secure, or error-free;

  • HeadDial will meet your expectations or requirements;

  • HeadScore will be accurate, complete, or suitable for every context;

  • AI-generated content will be accurate, complete, appropriate, or suitable;

  • audio content will be suitable for every Athlete;

  • HeadDial will improve performance;

  • HeadDial will prevent injury, stress, anxiety, poor performance, or other outcomes;

  • HeadDial will identify safeguarding, medical, mental-health, or emergency issues;

  • defects will always be corrected;

  • the Services will be compatible with every device, system, browser, operating system, or region.

HeadDial does not make any guarantee about sport performance outcomes, selection, competition results, wellbeing outcomes, recovery outcomes, or Athlete development.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

33. Limitation of liability

Nothing in these Terms limits or excludes liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation;

  • any liability that cannot be excluded or limited under applicable law.

Subject to the above, HeadDial will not be liable for:

  • loss of profits;

  • loss of revenue;

  • loss of business;

  • loss of contracts;

  • loss of goodwill;

  • loss of anticipated savings;

  • loss or corruption of data;

  • business interruption;

  • indirect or consequential loss;

  • decisions made by Clubs, Coaches, Sport Psychologists, Athletes, parents, guardians, or third parties;

  • reliance on HeadScore, AI-generated content, audio content, or performance insights;

  • unauthorised access caused by your failure to protect login details;

  • issues caused by third-party services, app stores, devices, networks, or operating systems.

Where you are an individual Athlete using HeadDial for free through a Club, HeadDial’s liability to you will be limited to the greater of:

  • £100; or

  • the amount required by applicable law.

Where you are a Club or enterprise customer, liability limits will be governed by the applicable written agreement between HeadDial and that Club or enterprise customer.

34. Indemnity

If you are a Club User or access HeadDial on behalf of a Club, you agree to indemnify HeadDial against losses, claims, damages, liabilities, costs, and expenses arising from:

  • your misuse of HeadDial;

  • your breach of these Terms;

  • your unauthorised disclosure of Athlete data;

  • your attempt to re-identify anonymised, aggregated, or de-identified data;

  • your violation of applicable law;

  • your infringement of third-party rights;

  • User Content you submit or upload;

  • your professional advice, decisions, actions, or omissions.

This indemnity does not apply to individual Athletes acting as consumers to the extent prohibited by applicable law.

35. Suspension and termination

We may suspend, restrict, or terminate your access to HeadDial if:

  • you breach these Terms;

  • your Club requests removal of your access;

  • your Club agreement ends;

  • your account is inactive;

  • we believe your account has been compromised;

  • we believe your use creates legal, security, safeguarding, privacy, or operational risk;

  • we are required to do so by law;

  • we discontinue the relevant Services.

You may stop using HeadDial at any time.

If your access is managed by a Club, you may need to contact the Club to request account removal, data deletion, or access changes. You may also request account deletion through the app, where available, or by contacting HeadDial as described in these Terms and our Privacy Policy.

Termination of access does not affect rights or obligations that are intended to continue, including confidentiality, intellectual property, disclaimers, liability limits, and data protection provisions.

36. Changes to these Terms

We may update these Terms from time to time.

If we make material changes, we will take appropriate steps to notify Users or Clubs. This may include posting updated Terms, sending a notification, or providing notice through the Services.

The “Last updated” date at the top of these Terms shows when they were most recently updated.

Your continued use of HeadDial after updated Terms become effective means you accept the updated Terms.

If you do not agree to updated Terms, you must stop using HeadDial.

37. Transfer of rights

You may not transfer, assign, or delegate your rights or obligations under these Terms without our prior written consent.

We may transfer, assign, subcontract, or delegate our rights and obligations under these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets, change of control, or business transfer.

38. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, the rest of the Terms will remain in effect.

The invalid, unlawful, or unenforceable part will be treated as modified to the minimum extent necessary to make it valid, lawful, and enforceable. If modification is not possible, that part will be treated as deleted.

39. No waiver

If we do not enforce a provision of these Terms, that does not mean we have waived our right to enforce it later.

Any waiver must be in writing to be effective.

40. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over disputes arising from or relating to these Terms, except where applicable consumer law gives you the right to bring proceedings in another jurisdiction.

If you are a consumer resident in Scotland, Northern Ireland, Ireland, the European Union, or another country, you may have additional rights under local law.
